The following check list is designed for the formation of more extensive SaaS contracts. For simpler cases, an abbreviated „Check list" is available to download.

The list is intended to be used as a practical basis for contractual negotiations and should prevent important points being forgotten. This is because these are often subsequently disputed, which cannot be the aim of the negotiations. It is best for each point to be discussed and documented separately in the minutes. The minutes that are then produced at the end of the negotiations must be read by the contractual partners and signed or initialled to confirm that they are correct. As the negotiations enter their final phase, it may be very useful to go through the list a number of times. Some items often seem to have been resolved at an early stage but then require further amendments when other matters are being considered.
